These Terms of Use (the “Terms”) govern your access to and use of the Zadly platform, websites, and related services (together, the “Service”). Zadly is operated by Zadly Inc. (“Zadly”, “we”, “our”, or “us”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Agreement
These Terms form a binding agreement between you and Zadly. If you use the Service on behalf of a business (for example, a restaurant or café), you represent that you have authority to bind that business and “you” refers both to you personally and to that business.
2. The service
Zadly lets restaurants and cafés create digital menus, generate QR codes for table-side access, collect customer feedback, and manage team members. We may add, change, or remove features at any time. We try to give reasonable notice for material changes that affect paid plans.
3. Your account
To use most of the Service you need an account. You agree to:
- provide accurate information when signing up,
- keep your sign-in credentials confidential and secure (Zadly uses one-time email links, social sign-in, and optional SSO),
- be responsible for all activity that happens under your account or organization, including the actions of teammates you invite, and
- notify us promptly at support@zadly.app if you believe your account has been accessed without permission.
You must be at least 16 years old to use the Service.
4. Acceptable use
You agree not to use the Service to:
- break any law that applies to you or your customers, including food safety, advertising, and consumer protection rules in Iraq,
- publish menu items, descriptions, prices, or photos that are fraudulent, deceptive, defamatory, infringing, or illegal,
- attempt to gain unauthorized access to the Service, other accounts, or our infrastructure,
- reverse engineer, scrape, or circumvent rate limits and technical measures we put in place,
- run automated traffic against the Service except through a documented API we provide, or
- use the Service to send spam or to harass anyone, including your own customers.
5. Your content
You retain ownership of the content you upload to Zadly — menu items, photos, descriptions, your logo, customer feedback you collect, and so on (“Your Content”). You grant Zadly a worldwide, royalty-free license to host, store, transmit, display, and process Your Content solely so we can provide the Service to you (for example, showing your menu to your customers when they scan your QR code).
You are responsible for Your Content. You confirm you have the right to publish it and that doing so does not violate anyone’s rights.
6. Plans & billing
Zadly offers a free plan with feature limits and one or more paid plans. Paid plans are upgraded by entering a single-use upgrade code you receive from us. Codes are tied to a specific plan and cannot be reused once redeemed.
Plan pricing, included quotas (such as menu item caps, member seats, and access to customer feedback) and any usage-based components are described inside the product. When you exceed a free-plan quota the Service may disable the corresponding action until you upgrade.
We may change pricing, plan features, and quotas with reasonable notice for paid plans. Charges, where applicable, are paid in Iraqi Dinar (IQD) or US Dollar (USD) and are non-refundable except where required by law.
7. Intellectual property
The Service, including its software, design, brand, and content provided by Zadly, is owned by Zadly or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in line with these Terms. No other rights are granted by implication.
8. Third-party services
Zadly may integrate with third parties (for example, email delivery, cloud storage, payment providers, and identity providers like Google, GitHub, or Apple). Your use of those services is also subject to their own terms and privacy policies. We are not responsible for third-party services.
9. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if continued access would expose Zadly or other users to legal or security risk, or if your account is inactive for an extended period. We may also remove individual restaurants from the platform under our super-admin tools when required by law or for serious policy violations.
When your account ends, your menus may become unavailable to your customers. We may retain backups and aggregated, non-identifying data for a reasonable period.
10. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Zadly disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that customer scans will always reach your menu.
11. Limitation of liability
To the maximum extent permitted by law, Zadly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of revenue, customers, goodwill, or data, arising out of or related to the Service. Zadly’s total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of the fees you paid Zadly in the twelve months before the claim, or USD 50.
12. Indemnity
You agree to defend, indemnify, and hold Zadly and its affiliates, officers, employees, and partners harmless from any claim or demand (including reasonable legal fees) arising out of Your Content, your use of the Service, or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the Republic of Iraq. The courts of Baghdad, Iraq, have exclusive jurisdiction over any dispute relating to the Service or these Terms, unless mandatory consumer-law rules require otherwise.
14. Changes
We may update these Terms from time to time. If we make a material change we will give reasonable notice (for example, by email or an in-product banner). Continued use of the Service after the changes take effect means you accept the updated Terms.
